Acceptance of Terms

By downloading, installing, accessing, or using Desk Tools PDF Toolkit (the "Software"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all of these Terms, you must not install or use the Software.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Desk Tools ("Company", "we", "us", or "our"). By clicking "I Agree", installing the Software, or activating a license key, you acknowledge that you have read, understood, and consent to be bound by these Terms.

If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" shall refer to such organization.

Definitions

• "Software" means the Desk Tools PDF Toolkit desktop application, including all bundled components, engines, libraries, and associated documentation.
• "License Key" means the unique alphanumeric code issued to you upon purchase that activates Pro features of the Software.
• "Machine ID" means the cryptographic identifier derived from your computer's hardware characteristics, used to bind your license to a specific device.
• "Free Features" means the functions available without a License Key, including but not limited to Convert, Compress, Merge, Split, Rotate, Extract Text, Extract Images, Watermark, Protect, and Repair.
• "Pro Features" means the premium functions requiring an active License Key, including but not limited to Redact, OCR, Summarize, Batch Processing, and any features designated as "Pro" in the Software interface.
• "Content" means any files, documents, images, text, or other data that you process using the Software.
• "Subscription Period" means the duration of your active license, whether monthly, annual, or lifetime.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on a single computer for your personal or internal business purposes.

This license does not grant you any ownership rights in the Software. All rights not expressly granted herein are reserved by the Company.

Account & License Activation

To access Pro Features, you must purchase and activate a valid License Key. The activation process involves:

• Entering your License Key in the Software's activation interface.
• The Software communicating with our activation server to validate the key and bind it to your Machine ID.
• Receiving a digitally signed token (JWT) that enables Pro Features on your device.

You are responsible for maintaining the confidentiality of your License Key. You must not share, publish, sell, or distribute your License Key to any third party. Any unauthorized use of your License Key may result in immediate revocation without refund.

An active internet connection is required for initial activation and periodic re-validation of your license. The Software may verify your license status at startup and at regular intervals.

Subscription Plans

The Software is offered under the following plans:

• Free Plan: Access to all Free Features at no cost, with no time limitation. No License Key required.
• Pro Monthly: Access to all Free and Pro Features for a recurring monthly period. Auto-renews unless cancelled.
• Pro Annual: Access to all Free and Pro Features for a recurring annual period at a discounted rate. Auto-renews unless cancelled.
• Pro Lifetime: One-time purchase granting perpetual access to all Free and Pro Features included at the time of purchase. Does not guarantee access to features released in future major versions.

We reserve the right to modify plan pricing, features, and availability at any time. Changes to pricing will not affect your current active subscription period.

Payments & Billing

All payments are processed through our authorized payment processor. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees.

• All prices are displayed in the currency shown at checkout and include applicable processing fees.
• Recurring subscriptions will automatically renew at the end of each billing period unless cancelled prior to the renewal date.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain access to Pro Features until then.
• We do not store your full payment card details. All payment data is handled by our PCI-compliant payment processor.

Free vs. Pro Features

The following features are available to all users at no cost:

• Convert to PDF (documents, images, HTML)
• Compress PDF (reduce file size)
• Merge PDFs (combine multiple files)
• Split PDF (extract pages)
• Rotate Pages
• Extract Text
• Extract Images
• Add Watermark (text or image)
• Protect / Encrypt PDF
• Repair PDF

The following features require an active Pro license:

• Redact sensitive information
• OCR (Optical Character Recognition)
• Summarize PDF
• Batch Processing (convert or redact multiple files)
• Entity Extraction

We reserve the right to reclassify features between Free and Pro tiers. If a currently Free feature becomes Pro-only, existing users who relied on that feature will receive reasonable notice.

Permitted Use

You may use the Software for:

• Personal document processing and management.
• Internal business operations within your organization.
• Processing documents on behalf of clients, provided you are the licensed user operating the Software.
• Educational and research purposes.

Each license permits installation on one (1) device. If your organization requires multiple installations, you must purchase a separate license for each device.

Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software or any of its components.
• Modify, adapt, translate, or create derivative works based on the Software.
• Copy, distribute, sublicense, lease, lend, sell, or otherwise transfer the Software or your License Key to any third party.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Software.
• Use the Software to process, store, or transmit material that infringes upon the intellectual property rights of any third party.
• Use the Software for any illegal purpose or in violation of any applicable local, national, or international law.
• Circumvent, disable, or tamper with any license validation, activation mechanism, or security feature of the Software.
• Share, publish, or distribute License Keys, activation tokens, or any license bypass methods.
• Use automated tools, bots, or scripts to interact with our activation servers in an unauthorized manner.
• Offer the Software as part of a competing commercial service or SaaS platform without our written consent.

Intellectual Property

The Software, including but not limited to its code, design, user interface, documentation, graphics, icons, and branding, is the exclusive property of Desk Tools and is protected by copyright, trademark, and other intellectual property laws.

The Desk Tools name, logo, and all related product names and slogans are trademarks of the Company. You may not use these marks without our prior written permission.

The Software incorporates open-source components that are subject to their respective licenses. A list of these components and their licenses is available within the Software or upon request. Your use of open-source components is governed by the applicable open-source licenses, which take precedence over these Terms to the extent of any conflict regarding those specific components.

Your Content & Data

You retain full ownership of all Content you process using the Software. We claim no rights, title, or interest in your Content.

You are solely responsible for:

• Maintaining backups of your original files before processing.
• Ensuring you have the right to process, modify, or redact any Content.
• Verifying the accuracy and completeness of any output produced by the Software (including but not limited to OCR results, summaries, and redactions).
• Complying with all applicable data protection laws and regulations regarding the Content you process.

Privacy & Data Processing

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

The only data transmitted from the Software to our servers is:

• License Key and Machine ID (for license validation).
• Operating system platform and application version (for compatibility).
• Activation and validation requests.

No document content, file names, file paths, usage statistics, or personal files are ever transmitted to our servers.

Third-Party Components

The Software bundles the following third-party components for offline operation:

• LibreOffice — Document conversion engine (Mozilla Public License 2.0).
• Tesseract OCR — Optical character recognition engine (Apache License 2.0).
• wkhtmltopdf — HTML to PDF conversion (LGPLv3).
• PyMuPDF (fitz) — PDF processing library (GNU AGPL v3 / Commercial).
• pikepdf — PDF structure repair library (MPL 2.0).
• Electron — Desktop application framework (MIT).

These components are provided under their respective licenses. We are not responsible for any defects, vulnerabilities, or limitations in these third-party components. Their inclusion does not constitute an endorsement by their developers.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Software will be uninterrupted, error-free, secure, or free of viruses or harmful components.
• Any warranty regarding the accuracy, reliability, or completeness of any output produced by the Software, including but not limited to OCR text recognition, document summaries, entity extraction, and redaction completeness.
• Any warranty that the Software will meet your specific requirements or expectations.

You acknowledge that no software can guarantee 100% accuracy in text recognition, redaction, or document repair, and you agree to verify all critical output independently.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, goodwill, or business opportunity.
• Any damage resulting from unauthorized access to or alteration of your data or transmissions.
• Any damage resulting from your reliance on the accuracy of OCR, summarization, redaction, or any other output of the Software.
• Any cost of procurement of substitute goods or services.

In no event shall our total aggregate liability exceed the amount you actually paid for the Software in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use or misuse of the Software.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of any intellectual property or other rights of any third party.
• Any Content you process through the Software.

Termination

These Terms remain in effect until terminated by either party.

• By You: You may terminate these Terms at any time by uninstalling the Software and ceasing all use. If you have an active subscription, you must also cancel your subscription through the original purchase channel.
• By Us: We may suspend or terminate your license immediately, without prior notice or liability, if you breach any provision of these Terms. We may also terminate for any reason with thirty (30) days' written notice.

Upon termination, your license and all rights granted under these Terms cease immediately. You must uninstall the Software and destroy all copies in your possession. Termination does not entitle you to a refund of any fees paid, except as required by applicable law.

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

Refund Policy

• Monthly & Annual Subscriptions: You may request a full refund within seven (7) days of your initial purchase or most recent renewal, provided you have not extensively used Pro Features during that period. Refund requests after the 7-day window are handled at our discretion.
• Lifetime Licenses: You may request a full refund within fourteen (14) days of purchase if the Software does not function as described and we are unable to resolve the issue. After 14 days, lifetime license purchases are non-refundable.

To request a refund, contact us through our Support page with your License Key and purchase details.

Updates & Modifications

We may update the Software from time to time to improve functionality, fix bugs, add new features, or address security vulnerabilities. You are not obligated to install updates, but certain features may require the latest version to function correctly.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Software interface, our website, or by email. Your continued use of the Software after such notification constitutes acceptance of the modified Terms.

If you disagree with any modified Terms, your sole remedy is to stop using the Software and terminate your license.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Software shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration under the rules of the Lagos Court of Arbitration, or file a claim in the courts of competent jurisdiction in Lagos, Nigeria.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any purchase confirmation, constitute the entire agreement between you and the Company regarding the Software. These Terms supersede all prior or contemporaneous agreements, understandings, negotiations, or representations regarding the Software, whether written or oral.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
